1. Introduction

Welcome to Character AI ("we", "us", "our", or the "Platform"). Character AI is an adult-oriented artificial intelligence platform that allows users to create fictional AI-generated characters, images, videos, and chat experiences for personal, non-commercial use.

These Terms of Service ("Terms") form a legally binding agreement between you and Character AI. By accessing, browsing, or using our website, applications, or services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, Cookie Policy, Refund Policy, and Safety Guidelines.

If you do not agree with any part of these Terms, you must not use our Services.

2. Eligibility and Age Requirement

You must be at least 18 years of age, or the age of legal majority in your jurisdiction (whichever is higher), to use our Services.

By using our Services, you represent and warrant that:

You may not:

4. Description of Services

Character AI provides AI-powered tools for creating fictional adult characters, including but not limited to:

• AI-generated character images
• AI-generated character videos
• AI-powered chat and conversation
• Character customization and prompt tools
• Credit-based access to generation features

All content generated through our Services is produced by artificial intelligence models. The characters, scenarios, and interactions are entirely fictional and do not depict, represent, or reference any real person.

5. User Content and Uploads

5.1 Your Responsibility for Uploaded Content

You are solely and fully responsible for all content you upload, submit, or transmit through our Services ("User Content"). This includes, but is not limited to, images, text prompts, videos, audio, and any other materials.

By uploading any content, you represent and warrant that:

• You own or have the necessary rights and permissions to use and share the content
• The content does not depict, reference, or impersonate any real, identifiable person unless you have obtained explicit, verifiable consent from that person
• The content does not contain material involving minors in any form
• The content does not violate any applicable law, regulation, or third-party right
• The content complies with these Terms and our Safety Guidelines

5.2 No Real-Person Content Without Consent

Uploading, generating, or attempting to create content that depicts or impersonates any real, identifiable person (including celebrities, public figures, or private individuals) without that person's explicit, written consent is strictly prohibited.

This includes, without limitation:

• Uploading photographs of real people for AI processing
• Requesting AI-generated content that resembles a specific real person
• Using prompts that reference real individuals by name, likeness, or identifying characteristics
• Creating deepfake content of any kind

Violation of this provision may result in immediate account termination, forfeiture of credits, and potential legal liability. You acknowledge that creating non-consensual deepfake content may violate laws in multiple jurisdictions, including but not limited to state and federal laws in the United States, the EU AI Act, the UK Online Safety Act, and various state-level deepfake statutes.

5.3 License Grant

By uploading User Content, you grant Character AI a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, process, and display your content solely for the purpose of providing, maintaining, and improving our Services. This license terminates when you delete your content or your account, except where retention is required by law or for legitimate operational purposes (e.g., security logs, abuse prevention).

5.4 No Obligation to Monitor

While we reserve the right to review, monitor, and remove any User Content at our sole discretion, we are not obligated to do so. You acknowledge that you use our Services at your own risk and that we do not endorse or assume responsibility for any User Content.

6. AI-Generated Content

6.1 Ownership

Subject to these Terms, you retain ownership of the AI-generated content you create through our Services, for your personal, non-commercial use.

6.2 AI Content Disclaimers

AI-generated content is produced by machine learning models and may not be accurate, reliable, or appropriate. You acknowledge that:

• AI-generated content does not represent the views, opinions, or endorsements of Character AI
• AI models may produce unexpected, inconsistent, or undesirable results
• We do not guarantee the quality, accuracy, or suitability of any AI-generated content
• AI-generated content should not be used for any purpose where accuracy or reliability is critical
• You use AI-generated content at your own risk and discretion

6.3 Content Moderation

We employ automated content moderation systems to review prompts and generated outputs. These systems are designed to detect and block prohibited content, including but not limited to child sexual abuse material (CSAM), violent content, and deepfake content.

We reserve the right to:

• Block, refuse, or restrict any prompt or generation request
• Remove or delete any generated content
• Suspend or terminate accounts that repeatedly attempt to generate prohibited content
• Report suspected illegal content to relevant law enforcement authorities
• Retain records of violations for legal compliance and evidence purposes

All moderation decisions are final. We are not obligated to provide refunds for content blocked by our moderation systems.

7. Prohibited Activities and Content

You agree not to use our Services to create, upload, request, generate, distribute, or promote any content that:

7.1 Absolutely Prohibited (Zero Tolerance)

• Child Sexual Abuse Material (CSAM): Any content involving minors in sexual, suggestive, or exploitative contexts, whether real, fictional, AI-generated, animated, or illustrated. We report all suspected CSAM to the National Center for Missing & Exploited Children (NCMEC) and relevant law enforcement agencies.
• Non-consensual intimate content: Content depicting sexual acts or nudity without the subject's consent, including revenge pornography and non-consensual deepfakes.
• Real-person deepfakes: AI-generated content that depicts, impersonates, or replicates any real, identifiable person.
• Bestiality: Content involving sexual acts with animals.
• Content that sexualizes violence: Sexual content combined with violence, coercion, force, or harm.

7.2 Prohibited Content

• Content promoting terrorism, extremism, or hate speech targeting individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin
• Content depicting or promoting self-harm, suicide, or eating disorders
• Content that facilitates illegal activities (drug manufacturing, weapons, trafficking)
• Spam, phishing, or fraudulent content
• Content that infringes on intellectual property rights of others
• Malware, viruses, or any code designed to disrupt or damage systems

7.3 Prohibited Behaviors

• Attempting to bypass, disable, or circumvent our content moderation systems
• Using prompt injection, adversarial inputs, or jailbreaking techniques
• Scraping, harvesting, or collecting data from our Services without authorization
• Reselling, redistributing, or sublicensing access to our Services
• Using our Services for any commercial purpose without explicit written authorization
• Reverse engineering, decompiling, or attempting to extract our AI models or proprietary technology

8. Payment and Billing

8.1 Credits and Pricing

Our Services operate on a credit-based system. Pricing for credits and subscription plans is displayed on our Pricing page and may vary by region. All prices are in the currency displayed and include applicable taxes unless otherwise stated.

8.2 Payment Processing

Payments are processed through our third-party payment processors (including but not limited to PayChanel, Stripe, and PayPal). By making a purchase, you agree to the terms and conditions of the applicable payment processor. We do not store your full payment card details on our servers.

8.3 Automatic Renewal

If you purchase a subscription plan, it will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.

8.4 Price Changes

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice of any price increase for existing subscriptions. Continued use of the Services after a price change constitutes your acceptance of the new pricing.

8.5 Payment Compliance

You agree not to use our Services in any manner that violates the terms of service of our payment processors, including Visa, Mastercard, and other payment network rules. Violations may result in account termination and forfeiture of credits.

9. Intellectual Property

9.1 Our Intellectual Property

The Character AI platform, including its name, logo, design, software, algorithms, AI models, and all related intellectual property, is owned by Character AI and protected by applicable intellectual property laws. You may not use our trademarks, logos, or branding without our prior written consent.

9.2 Your Rights

You retain all rights to your original User Content. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use our Services for personal, non-commercial purposes.

9.3 Feedback

If you provide feedback, suggestions, or ideas about our Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into our Services without any obligation to you.

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

11.2 Compliance with Local Laws

12. Termination

12.1 Termination by Us

12.3 Survival

Sections 5.2 (No Real-Person Content), 6.2 (AI Content Disclaimers), 9 (Intellectual Property), 13 (Limitation of Liability), 14 (Indemnification), 15 (Dispute Resolution), and 16 (Governing Law) survive termination of these Terms.

13. Limitation of Liability

To the maximum extent permitted by applicable law:

• Our Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory
• We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or harmful components
• Our total liability to you for any claims arising from or related to these Terms or your use of the Services shall not exceed the greater of (a) the amount you paid to us in the 12 months preceding the claim, or (b) $100 USD
• We shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including damages for loss of profits, goodwill, data, or other intangible losses

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such cases, our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Character AI, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your User Content, including any content you upload or generate
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
• Any claim that your User Content caused harm to a third party

This indemnification obligation survives termination of these Terms and your account.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at [email protected] and attempt to resolve the dispute informally within 30 days.

15.2 Binding Arbitration

If informal resolution fails, any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration, conducted by a mutually agreed-upon arbitration body, in accordance with applicable arbitration rules.

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Character AI.

15.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or breach of confidentiality obligations.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Character AI is registered, without regard to its conflict of law provisions. Any legal proceedings not subject to arbitration shall be brought exclusively in the courts of that jurisdiction.

17. Payment Network Compliance

You acknowledge that Character AI processes payments through third-party payment providers and payment card networks (including Visa, Mastercard, and others). You agree that:

• You will not use the Services in any manner that could expose Character AI to sanctions, fines, or termination from payment networks
• You will not use the Services to process payments for illegal goods or services
• You will not engage in activities that violate the acceptable use policies of our payment processors
• Violations of payment network rules may result in immediate account termination and may be reported to relevant financial institutions

You understand that your violations of these Terms may not only result in the termination of your account but may also result in legal action against you personally, including but not limited to civil liability, criminal prosecution, and financial penalties.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of these Terms
• Provide notice through our Services or via email where practicable
• Provide at least 30 days' notice before material changes take effect

Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Services and may request account deletion.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

20. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, Refund Policy, and Safety Guidelines, constitute the entire agreement between you and Character AI regarding the Services, and supersede all prior agreements, understandings, and representations.
